1. Confidential Information
Confidential information includes, without limitation: credit bureau reports, KYC documents, loan account details, dispute drafts, internal process documents, pricing, and any information marked confidential or which a reasonable person would understand to be confidential.
2. Mutual Obligations
Each party agrees to (a) use the other party's confidential information solely for the purpose of the engagement, (b) protect it using at least the same degree of care it uses for its own confidential information, and (c) not disclose it to any third party except as permitted below.
3. Permitted Disclosures
Confidential information may be disclosed to credit bureaus, banks, NBFCs, courts, or regulators strictly to the extent required to execute the engagement or to comply with law. Each party may also disclose to its personnel and advisors on a need-to-know basis, subject to equivalent confidentiality obligations.
4. Exclusions
Confidential information does not include information that (a) is or becomes public without breach of this NDA, (b) was lawfully known before disclosure, (c) is received from a third party without confidentiality obligations, or (d) is independently developed without use of the confidential information.
5. Term
These obligations remain in effect for the duration of the engagement and for three (3) years after its termination, except for personal data, which continues to be protected for as long as required by applicable law.
6. No Licence
Nothing in this NDA grants either party any right, title, or interest in the other party's confidential information other than the limited right to use it for the purpose of the engagement.
7. Governing Law
This NDA is governed by the laws of India. Courts at New Delhi shall have exclusive jurisdiction over any disputes arising out of it.
